Terms of Use

Note: This Terms of Use document is a product/legal draft for formatting and UX. It should be reviewed by counsel before publication.
Terms at a glance
- •Trust Up helps people coordinate needs and resources. We provide tools (web, mobile, and optional kiosks/lockers/lights) to share “Needs” and “Resources,” and to connect people to coordinate outside the platform.
- •Not public by default. Circles/Groups are generally private and invite-based. We may introduce optional ways to browse needs/resources beyond your Circle later (see “Discovery & Public Content”).
- •You’re responsible for what you post and how you coordinate. Trust Up doesn’t verify listings, users, or outcomes.
- •No ratings/reviews. We don’t run a review/rating system today.
- •Sales may happen later. Trust Up is not currently a marketplace. In the future we may support paid exchanges; if so, additional terms may apply.
- •Safety matters. Don’t post prohibited items/content or use Trust Up to harm or exploit others.
- •Privacy is separate. Our data practices are described in the Privacy Policy.
1. Agreement to terms
These Terms of Use (“Terms”) are a legally binding agreement between you (“you”) and Trust Up L3P (“Trust Up,” “we,” “us,” “our”) governing your access to and use of Trust Up’s services, including:
- our websites (including trustup.app and trustup.org),
- our mobile applications,
- and any optional physical or connected experiences we operate (such as kiosks, lockers, lights, QR codes, or related displays) (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, group, or entity, you represent that you have authority to bind that entity to these Terms.
2. What Trust Up is (and isn’t)
Trust Up is a coordination tool. People use it to share:
- Needs (requests for help, items, support, or coordination), and
- Resources (offers of time, items, information, space, or support).
Trust Up is not:
- a guaranteed fulfillment service,
- a medical provider, emergency service, or crisis response system,
- a background-checking or identity verification service,
- a marketplace today (see Section 7 for future possibilities).
Trust Up may help people connect, but any agreements, meetups, exchanges, or follow-through happen between users.
3. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may only use the Services with permission and supervision of a parent/guardian.
You may not use the Services if:
- you are prohibited under applicable law, or
- your account has been suspended or terminated.
4. Accounts and registration
You may need an account to use certain features. You agree to:
- provide accurate information,
- keep your login credentials secure,
- promptly update your information, and
- be responsible for activity under your account.
We may reclaim or change usernames that are misleading, infringe rights, or violate these Terms.
5. Circles, groups, and invites
Trust Up may allow you to create or join Circles/Groups that share Needs and Resources.
Default privacy: Circles/Groups are generally intended to be private and invite-based. If we offer features that expand visibility (e.g., group directories, discovery feeds, or public postings), we will describe those options clearly and provide controls (see Section 11).
You are responsible for whom you invite and what you share.
6. Resources, needs, and coordination
Trust Up may provide tools to:
- post Needs and Resources,
- respond to others,
- organize threads, and
- coordinate by moving the conversation to real-world communication channels (text, call, email, meetups, etc.).
You are responsible for your interactions. Use good judgment, follow local laws, and prioritize safety.
Trust Up does not guarantee that any Need will be met or that any Resource is accurate, safe, or lawful.
7. Payments and “future marketplace” features
Not a marketplace today. Trust Up does not currently provide a built-in checkout, escrow, or payments marketplace for user-to-user transactions.
Future possibility: We may introduce optional features that support paid exchanges (for example: allowing a user to request payment for an item or service, or enabling organizations to post paid offerings). If we do:
- additional terms may apply,
- payment processors’ terms will apply,
- and we may require identity verification, fees, and compliance steps.
Until then, if users choose to exchange money, goods, or services outside Trust Up, they do so at their own risk.
8. User content: needs & resources
Anything you post, upload, or share through the Services (“User Content”) remains yours, but you grant us a limited license to operate the Services.
Your responsibilities
You represent that your User Content:
- is truthful to the best of your knowledge,
- does not violate law or others’ rights,
- does not include prohibited content (Section 9),
- and is posted with appropriate consent (e.g., if it includes someone else’s name, photo, or personal information).
License to Trust Up
You grant Trust Up a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content only as needed to operate and improve the Services and to provide the features you choose (such as sharing within your Circle, or optional discovery settings).
Removal
You can delete certain User Content through the Services. We may retain limited copies as required for legal, safety, fraud prevention, or backup purposes.
9. Prohibited content and activities
You may not use the Services to:
- harass, threaten, or exploit others,
- share illegal content or facilitate illegal activity,
- impersonate others or misrepresent identity,
- post content that is hateful, sexually exploitative, or violent,
- share private personal data without consent (e.g., doxxing),
- distribute malware, scrape the service, or interfere with security,
- or use the Services for spam or deceptive solicitation.
Prohibited items: If we allow item/resource postings, you may not use the Services to offer or request illegal or heavily regulated goods/services (including illegal drugs, weapons, etc.). We may publish a more detailed prohibited items list later.
10. Safety, moderation, and enforcement
We may review content and take action if we believe there is a violation of these Terms or safety concerns, including:
- removing content,
- limiting visibility,
- suspending or terminating accounts,
- and cooperating with lawful requests.
We are not obligated to monitor all activity, but we may do so to protect the Services and community.
11. Discovery & public content
Default: Trust Up is generally designed around private Circles/Groups.
Potential evolution: In the future, we may introduce optional ways to browse Needs/Resources from people you don’t already know (for example, a local “resources” directory, time-limited campaigns, or public/community postings). If we do, we will:
- clearly label what is public vs. private,
- provide controls to opt in/out and manage visibility,
- and explain how discovery works within the product and in documentation.
You understand that when you choose to make content more broadly visible, others may view, share, or act on it, and we cannot control what they do outside the Services.
12. Third-party services and links
The Services may link to third-party websites or tools (e.g., mapping, forms, social login). We are not responsible for third-party services, and your use is subject to their terms and privacy practices.
13. Intellectual property
The Services and all associated software, design, and branding are owned by or licensed to Trust Up and protected by applicable laws. You may not copy, modify, reverse engineer, or distribute our materials except as allowed by law or with written permission.
14. Kiosks, lockers, and connected displays
Trust Up may operate optional physical or connected features (e.g., kiosks, lockers, lights, QR codes). These may:
- display curated information or directories,
- provide an interface to view or submit resources,
- or support coordination in physical locations.
You agree to:
- use any physical equipment safely and lawfully,
- follow posted instructions and location rules,
- and not damage or tamper with equipment.
Availability and uptime of physical features are not guaranteed.
15. Mobile application terms
If you use our mobile application:
- you receive a limited, non-transferable license to use it for your personal or organizational coordination purposes,
- you may not decompile or attempt to extract source code except as permitted by law.
If you downloaded the app from a third-party store (Apple App Store/Google Play), their terms may also apply.
16. Privacy
Your use of the Services is also governed by our Privacy Policy. Please read it carefully.
17. Service changes and availability
We may modify, suspend, or discontinue the Services (or any part) at any time. We do not guarantee uninterrupted availability, and features may change over time.
18. Disclaimers & limits of liability
Disclaimers
The Services are provided “as is” and “as available.” Trust Up makes no warranties about accuracy, safety, or reliability of user content or outcomes.
Limits of liability
To the maximum extent allowed by law, Trust Up will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/data, arising from your use of the Services.

19. Indemnification
You agree to defend, indemnify, and hold Trust Up harmless from claims arising out of your use of the Services, your User Content, or your violation of these Terms or law.
20. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we believe it’s necessary for safety or integrity of the Services.
21. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
22. Dispute resolution

At minimum: disputes must be brought in the state or federal courts located in Ulster County, New York, and you consent to jurisdiction and venue there.
23. Changes to these terms
We may update these Terms from time to time. We will update the “Last updated” date and, when changes are material, provide additional notice (e.g., in-app, on the website, or by email if appropriate).
